Voorts bepaalt de EWC Agreement onder meer:
“THE PARTIES AGREE AS FOLLOWS
Act
• The Dutch European Works Councils Act as amended implementing the European Recast Directive concerning the establishment of a European works council or procedure in undertakings or groups of companies with a community dimension for the purpose of Informing and Consulting the Employees.
• Agreement as referred to in Section 8 of the Act.
The Alcoa European Works Council
• The European Works Council which has been established by virtue of this Agreement for the purpose of informing and consulting the employees.
• ‘Information’ means transmission of data by the Central Management to the Alcoa European Works Council in order to enable them to acquaint themselves with the subject matter and to examine it; information shall be given at such time, in such fashion and with such content as are appropriate to enable the EWC to undertake an in-depth assessment of the possible impact and, where appropriate, prepare for consultations with the competent organ of Alcoa.
• ‘Consultation means the establishment of dialogue and exchange of views between the Alcoa EWC and Central Management or any more appropriate level of management, at such time, in such fashion and with such content as enables the employees to express an opinion on the basis of the information provided about the proposed measures to which the consultation is related. The consultation shall be conducted in such a way that the employees representatives can meet with the Central Management and obtain a response, and the reasons for that response, to any opinion they might express.
Transnational
• Matters shall be considered transnational where they concern Alcoa in the EEA as a whole, or at least two undertakings or establishments of the group situated in two different EEA Member States. The transnational character of a matter will be determined by taking account of both the scope of its potential effects, and the level of management and representation that it involves. For this purpose, matters which concern the entire group or at least two Member States are considered to be transnational. These include matters which, regardless of the number of Member States involved, are of importance for the European workforce in terms of the scope of their potential effects or which involve transfers of activities between Member States. This definition aims to ensure that the employees of Alcoa are properly informed and consulted when decisions which affect them are taken in a Member State other than that in which they are employed.
• European Directive 2009/38 EC
• To promote, encourage and enable an effective Information and Consultation process with employees via their representatives, by means of the application of jointly agreed procedures as set out in this Agreement.
The Alcoa EWC is an independent body, which represents the interests of the employees as stipulated in this Agreement.
• The Agreement covers all the employees and Establishments of Alcoa located in the European Economic Area.
• The topics for Information and Consultation are those of a transnational nature, which are important and relevant to the employees within the territory and which affect establishments in more than one member state. The Information and Consultation at European level shall be aligned with the procedures for information and consultation at a local and national level.
• Matters for Information concerning Alcoa’s European activities and European policy include but are not limited to:
o Business: business outlook, developments, results, sales and marketing, new
technologies and new investments;
o Organizational and personnel matters: mergers, acquisitions, downsizing or closure of businesses, or of establishments or significant parts thereof; as well as equal opportunities for men and women; and issues concerning, environment, health and safety;
o Finance: financial information concerning the performance of Alcoa in the European Economic Area;
o Employment: expected trends in employment, and transnational HR-policies
• Consultation with the EWC shall relate in particular to Transnational issues at a strategic level that affect the employees’ interests to a considerable extent concerning the subjects relating to e .g.
o the employment situation and trends, including working methods; substantial changes in the structure and organization of Alcoa;
o investments, divestments, acquisitions, mergers, takeovers, spin offs;
o relocations, cutbacks or closures of enterprises, establishments or major parts thereof;
Consultation will take place with the intention to reach mutual understanding leading to the
expression of a timely opinion on the matter by the Alcoa EWC.”
